Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ELIL platform at elil.net (the "Service"), operated by GZOO Digital LLC ("Company," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 16 years old to use the Service. By agreeing to these Terms, you represent that you have the legal authority to enter into this agreement on behalf of yourself or the organization you represent.

2. Accounts

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate and complete information when creating an account.
• You must notify us immediately of any unauthorized use of your account.

3. Subscriptions and Billing

• Paid plans are billed monthly or annually, depending on your selection.
• All plans include a 7-day free trial. A valid payment method is required to start a trial.
• After the trial period, your payment method will be charged automatically at the applicable plan rate.
• You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period.
• We do not provide refunds for partial billing periods.
• Prices are subject to change with 30 days' notice.

4. AI Token Usage

• AI tokens are consumed when using AI-powered features including image generation and voiceover narration.
• Each plan includes a monthly token allowance that resets on your billing cycle date.
• Unused tokens do not roll over to the next billing period.
• Additional token packs can be purchased at any time. Purchased tokens do not expire.
• Token consumption rates are approximate and may vary based on content complexity and AI provider costs.

5. Your Content

• You retain all ownership rights to content you upload to the Service.
• You grant us a limited license to process, store, and display your content solely to provide the Service.
• AI-generated content (courses, voiceovers, images, quizzes) created through the Service is owned by you.
• You are responsible for ensuring you have the right to upload and use any content you provide.
• You must not upload content that is illegal, infringing, defamatory, or harmful.

6. Marketplace

• If you publish courses to the ELIL marketplace, you grant buyers a license to use the course content for internal training purposes.
• A 1% platform fee applies to all marketplace transactions.
• You are solely responsible for the accuracy and quality of courses you publish.
• We reserve the right to remove marketplace content that violates these Terms.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload malware, viruses, or malicious code
• Attempt to gain unauthorized access to other accounts or systems
• Interfere with or disrupt the Service or its infrastructure
• Scrape, crawl, or extract data from the Service through automated means without permission
• Resell, sublicense, or redistribute the Service without authorization
• Use the Service to generate content that is illegal, harmful, or violates third-party rights

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. Enterprise plans include custom SLA terms with guaranteed uptime commitments.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you agree to our data practices as described in the Privacy Policy.

10. Intellectual Property

The Service, including its design, features, code, and documentation, is owned by GZOO Digital LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding. You may not copy, modify, or create derivative works of the Service itself.

11. Termination

• You may close your account at any time by contacting us.
• We may suspend or terminate your account if you violate these Terms or engage in activity that harms the Service or other users.
• Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow for export, after which it will be deleted.

12. Limitation of Liability

To the maximum extent permitted by law, GZOO Digital LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI-generated content will be accurate, complete, or suitable for any particular purpose.

14. Indemnification

You agree to indemnify and hold harmless GZOO Digital LLC from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your content, or your violation of these Terms.

15. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of the State of Florida.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
